Re: 3.23 gears
Hopefully you meant 3.23 gears like you stated in your title. The rear will physically bolt in but your backspacing will be way off. The 4th gen rears are wider than the 3rd gen., not to mention the e-brake cables are slightly different. It would be cheaper for you to get a complete rear end rebuild kit and new gears. Otherwise, your wheels will stick out from your fenders, unless you need an excuse to get new wheels.

I am not 100% sure if the axle's have the same number of splines. If so, then yes, the gearset will swap over. You should definately replace the carrier bearings, the inner and outer pinion bearings, the pinion seal, and the crush sleave. Any rebuild kit will have these parts or you can get them separately at the local Autozone. You will also need a shim pack assortment for the carrier and the pinion, a the proper tools to set the backlash and preload.
As you can see, this is a pretty detailed job and you may want to have somebody who knows what they are doing tackle this. It isn't hard but the tools are not worth buying if you are only going to do it one time.
