Its not that hard, you have to take out the front and back seats, kick panels, rear panels, and console.
Oh yea make shure you have a star socket to get the seat belts out of the way.
I would recommend you install molded carpet. I recently put in unmolded carpet and it wrinkled pretty bad.

Spend the money on premolded, precut carpet. It'll save you lots of time and aggravation. I removed all carpet, seats, and panels then reinstalled new carpet, 4th gen seats, and the panels in about 5hrs. I took my time doing it.

I guess you've heard already of http://www.1aauto.com , which sells the GM-authorized reproduction carpet (made by ACC, http://www.accmats.com ) for the cheapest price?
I posted a bunch of tips a while ago, but I'm too lazy to do a search right now.. search this forum for "ACC" and you'll find a ton of messages.
Quick tips- lay carpet in sun before installing, use old carpet as a template to make new holes with, don't over-cut the center console hole (test-fit your center console after each cut to make sure you don't cut too much), buy two cans of Scotchguard Fabric Protectant from a Pep Boys or Walmart and spray the carpet before installing it. (Test the stuff on a hidden section of carpet to make sure it doesn't ruin the carpet, but I don't think it will.)
